1. Introduction and agreement
These Terms of Use apply to ProcureCore, its iOS and macOS apps, and its associated cloud services. ProcureCore is provided by Curated Design Limited (“Curated Design”, “we”, “us”, or “our”), a company registered in England and Wales under company number 16720521.
By creating an account or using ProcureCore, you agree to these terms. If you use ProcureCore for a studio or other organisation, you also confirm that you are authorised to accept these terms on its behalf. Apple’s applicable licensed-application and App Store terms may also apply.
2. Eligibility and authority
ProcureCore is intended for professional and business use, and you must have authority to act for your studio where applicable.
Your studio is responsible for identifying a lawful basis for the personal data it enters, and for giving the people concerned — clients, supplier contacts, colleagues and others — the information required by Article 13 or Article 14 of the UK GDPR, as applicable to how the information was obtained. That includes telling them that ProcureCore processes their information on your studio’s behalf.
We will provide reasonable assistance with requests from those people, as set out in the ProcureCore Data Processing Schedule.
Nothing in this section transfers to your studio any obligation that the law places on Curated Design for processing we carry out as a controller in our own right.
3. Accounts and security
A ProcureCore account is required. You must provide accurate account information, keep it up to date, protect your device and authentication credentials, and notify us promptly at info@curateddesign.studio if you suspect unauthorised access.
ProcureCore supports email-and-password accounts and Sign in with Apple. Do not share passwords, Apple authorisation codes, or session credentials.
4. Workspaces, roles, and ownership
ProcureCore organises content in studio workspaces. Roles include owner, admin, member, and read-only viewer. Workspace owners control ownership and membership decisions; admins and members have the operational permissions assigned to their roles.
Content added to a shared workspace forms part of that studio’s business record and is available to authorised members. A user leaving or transferring ownership may need to decide what happens to affected workspaces. Shared records can remain for the studio after an individual leaves.
Studios are responsible for the people they invite, for assigning appropriate roles, and for ensuring their team enters and uses information lawfully.
5. User content and confidentiality
You or your studio retain ownership of content entered or uploaded to ProcureCore. You grant Curated Design a limited, non-exclusive right to host, process, synchronise, back up, and display that content to authorised workspace members only as needed to provide, secure, maintain, and support ProcureCore.
You confirm that you have the rights and permissions needed for the content you use. You must not upload unlawful, infringing, malicious, or deceptively obtained material. Product descriptions, images, brands, and other supplier content remain the property of their relevant owners.
We treat the content in your workspace as confidential.
We will not access, use or disclose it except: to provide, secure, maintain and support ProcureCore; where you or an authorised member of your studio asks us to, for example so that we can investigate a problem you have reported; where it is necessary to investigate a suspected security incident or a breach of section 11; or where the law requires it, in which case we will tell you unless we are prohibited from doing so.
We will not use your workspace content to operate or promote our interior-design business, to compete with you, to build a product or service for anyone else based on your commercially sensitive information, or to train artificial-intelligence models.
Everyone at Curated Design who is authorised to access workspace content is bound by these restrictions. These obligations continue after your account or subscription ends.
6. Product importing and third-party websites
Product imports are suggestions generated from supplier pages. Supplier information may be incomplete, unavailable, outdated, or wrong. You must verify price, availability, dimensions, specification, tax, delivery, and other critical facts before relying on them or placing an order.
We do not control supplier-site availability or changes. You are responsible for respecting supplier-site terms, intellectual-property rights, access restrictions, and other applicable rules when importing or using content.
7. Procurement and financial information
ProcureCore is an organisational tool, not accounting, tax, legal, investment, or financial advice. You are responsible for reviewing totals, tax treatment, currencies, reports, exports, approvals, and purchase decisions with appropriately qualified advisers where needed.
ProcureCore protects committed or locked placement-price history and requires review for eligible repricing actions, but your studio remains responsible for checking and approving every commercial decision.
Approvals and client sign-off. A client sign-off records the name entered, the date, any notes, a confirmation that approval was given, and an optional drawn signature. It is designed for an in-person or studio-mediated approval: the record is created by your studio on your studio’s device, and ProcureCore does not send anything to a client for signing.
ProcureCore does not verify the identity or authority of the person named or of the person who draws a signature, does not witness the signing, and does not check whether any formality required for a particular transaction has been met. A sign-off record is evidence of what your studio recorded. Whether it has legal effect in a particular case depends on the circumstances and on the law applying to that transaction, and your studio is responsible for deciding whether a ProcureCore sign-off is appropriate for the approval in question.
8. Optional AI assistant
The optional Studio Pro AI assistant can produce inaccurate, incomplete, outdated, or unsuitable output. Its responses are not professional, financial, legal, tax, design, or procurement advice. You must independently verify output before acting on it.
Do not submit information you are not entitled to disclose. AI processing is explained in the ProcureCore Privacy Policy. We may apply reasonable usage quotas, safety controls, and rate limits to protect the service and manage capacity.
Studio Pro includes an allowance of AI messages for each subscription period. A message counts against the allowance only when it is successfully answered, so a request that fails because of a technical or provider problem does not use one. The allowance resets at the start of each subscription period as determined by the App Store, not at the start of the calendar month, and a billing grace period extends the existing period rather than granting a new allowance.
Unused messages do not roll over to the next period and have no cash value. If a subscription is refunded, access to the paid features ends with the refunded period and the remaining allowance ends with it.
9. Free and paid plans
ProcureCore offers Free, Studio+, and Studio Pro capabilities. Features vary by plan, and some collaboration or AI functions require Studio+ or Studio Pro. The current price, billing period, and any eligible introductory offer are the values Apple shows in the app before you confirm a purchase.
10. Auto-renewing App Store subscriptions
- Apple handles billing and payment details.
- A subscription renews automatically unless cancelled in accordance with Apple’s subscription rules.
- You can manage or cancel it in your Apple account settings. Cancellation normally takes effect at the end of the current paid period, subject to Apple’s rules.
- Apple handles refund requests and determines eligibility.
- Deleting ProcureCore or deleting a ProcureCore account does not cancel a subscription.
- Restoring a purchase may require the same Apple account used for the original purchase.
- Entitlement confirmation may be delayed while Apple, RevenueCat, and ProcureCore synchronise subscription state.
See Apple’s subscription-management instructions or Apple’s refund-request instructions.
11. Acceptable use
You must not:
- use ProcureCore unlawfully or to infringe privacy, confidentiality, or intellectual-property rights;
- seek unauthorised access to an account, workspace, file, system, or other user’s information;
- share authentication credentials or impersonate another person;
- test the security of production systems without our written permission;
- circumvent plan limits, quotas, role permissions, or technical access controls;
- upload malicious code or files; or
- interfere with, overload, scrape, reverse engineer, or disrupt the service except where a restriction is prohibited by law.
12. Availability and changes
We aim to provide a dependable service, but do not promise uninterrupted or error-free availability. Maintenance, network conditions, supplier websites, Apple services, Supabase, RevenueCat, Anthropic, and other external platforms can affect functionality.
We may improve, replace, limit, or retire features. We will communicate material service or plan changes where required, but cannot promise that every feature will remain permanently available.
13. Backups, exports, and device responsibility
ProcureCore provides a cloud service and local working cache, but studios should retain appropriate business records and use the app’s export tools when needed for continuity, compliance, or record keeping. You are responsible for reasonable device security and for reviewing sync status and warnings.
These responsibilities do not transfer responsibility to you for a failure directly caused by our service.
14. Suspension and termination
We may restrict or suspend access where reasonably necessary to address a serious breach, unlawful use, security risk, threat to other users, or non-payment of an applicable service. Where circumstances allow, we will give notice and a reasonable opportunity to resolve the issue.
We will aim to preserve access to lawful exports where reasonably possible, unless doing so would create a security or legal risk.
You can delete your account from Settings, then Delete Account. Deletion removes your account, the workspaces you solely own and their records, and the working copy held on your device. Deletion is permanent and cannot be undone. If you own a workspace that has other members, you will be asked to transfer or delete it first.
Deleting your account does not cancel an Apple subscription. Cancel that separately in your Apple account settings.
15. Intellectual property
Curated Design owns or licenses the ProcureCore software, design, documentation, branding, and website materials. These terms do not transfer those rights to you. You and your studio retain your user content. Third-party trade marks, names, images, product data, and other materials remain the property of their respective owners.
16. Disclaimers
ProcureCore is supplied with reasonable care and skill. Within the limits permitted by law, we cannot guarantee supplier data, AI output, third-party services, uninterrupted access, or that the app will meet every studio’s requirements.
Nothing in these terms excludes warranties, remedies, statutory rights, or other protections that the law does not allow us to exclude.
17. Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of a duty that cannot lawfully be limited, or any other liability that cannot legally be excluded.
Subject to that, each party is responsible for loss or damage that is a reasonably foreseeable result of its breach of these terms or failure to use reasonable care and skill. ProcureCore is intended primarily for professional and business use. To the extent permitted by law, we are not responsible for losses caused solely by inaccurate supplier information, unverified AI output, unauthorised account use resulting from a user’s failure to protect credentials, or third-party services outside our reasonable control.
We do not exclude responsibility for losses directly caused by our own failure to provide the service with reasonable care and skill. Consumer statutory rights continue to apply wherever they are legally relevant.
Subject to the first paragraph of this section, our total liability to you and your studio for all claims arising out of or in connection with these terms and your use of ProcureCore is limited, in aggregate for all claims arising in any twelve-month period, to the greater of the subscription fees you paid us for ProcureCore in the twelve months before the first event giving rise to the claim, and £150.
Subject to the first paragraph of this section, we are not liable for loss of profit, loss of business or business opportunity, loss of anticipated savings, loss of goodwill, or for any indirect or consequential loss, in each case however arising.
If you use ProcureCore as a consumer rather than for the purposes of a business, nothing in this section limits your statutory rights.
18. Privacy
The ProcureCore Privacy Policy explains how account, workspace, subscription, import, support, and optional AI information is handled.
Where your studio uses ProcureCore to hold information about your own clients, colleagues or suppliers, your studio decides why that information is used and Curated Design processes it on your studio’s instructions. Those arrangements are set out in the ProcureCore Data Processing Schedule, which forms part of these terms.
19. Changes to these terms
We may update these terms to reflect changes to ProcureCore, its plans, providers, or the law. We will publish the revised terms with a new effective date and communicate material changes where required. Continued use after an update takes effect indicates acceptance where the law permits that approach.
20. Governing law and contact
These terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, except where mandatory law or consumer protection gives you the right to use another court or applicable local law.
Questions about these terms or ProcureCore can be sent to info@curateddesign.studio. You can also read the ProcureCore Data Processing Schedule or visit ProcureCore Support.
